Terms of Service
Last updated
In short. Fixed quotes agreed before work starts. You own the code and content once it is paid for. Full refund before development begins. Prices in CAD, no sales tax charged at present, and our liability is capped at what you paid us.
1. Who we are
Flowmatix is a registered sole proprietorship based in Brampton, Ontario, Canada, operating the website https://flowmatix.ca. In this document “we”, “us” and “Flowmatix” mean that business, and “you” means the person or organisation buying our services. You can reach us at hello@flowmatix.ca.
2. What these terms cover
These terms apply when you use this website, buy anything through it, or engage us for work. If we sign a separate written agreement or statement of work with you, that document governs wherever it conflicts with these terms.
We may update these terms. The version in force is the one published here on the day you place an order — changes are not applied retroactively to work already underway.
3. Quotes, scope and acceptance
Prices shown on the site are starting points. Once we understand what you need, we give you a fixed quote for a defined scope before any work begins. We do not bill by the hour and we do not raise the price mid-project for work that was in the agreed scope.
Work outside the agreed scope is quoted separately and only starts once you approve it. A project is accepted when you pay for it or confirm the quote in writing, whichever happens first.
4. Prices, payment and tax
All prices are in Canadian dollars (CAD). Nothing is sold or charged through this website. There is no checkout and no card form here, and we never ask for card details by email. Once a scope is agreed we send you an invoice, and the invoice carries the payment options and the due date.
Flowmatix is not currently registered for GST/HST, so no sales tax is charged on our invoices. If that changes, tax will be added to invoices issued after the date we register, and this page will be updated.
Where a project is billed in stages, work on a stage begins once payment for it clears.
5. Refunds and cancellations
Project work. You can cancel and get a full refund at any time before development begins. Once work has started, we refund what you paid less the value of work already completed, and you receive whatever has been produced up to that point.
Credits. If you upgrade from a Starter Site to a larger package within twelve months, what you paid for the Starter Site is credited toward it. Credits are applied against fees owed; they are not paid out in cash.
Refunds are returned by the same method you paid us.
6. Care plans
The Live, Found and Growing care plans are month-to-month. There is no contract, no minimum term and no setup fee. We invoice you monthly by email; no card is stored by us or by this website.
Cancel any time by emailing us. Cancellation takes effect at the end of the month you have paid for. We do not refund part-months. Because you own your code, you can move your site elsewhere at any time and we will help you do it.
No plan includes development hours. Published pages and reports on the Found and Growing plans are produced monthly and do not accumulate if unused. Development work is bought separately as a Dev Block (two hours, $190, valid ninety days) or at $95 per hour without a plan, and is always quoted before it starts.
Care plans cover websites Flowmatix built. We can take over a site we did not build after a paid audit, and we may decline if the existing code cannot be maintained safely.
Email included with a plan is professional forwarding on your own domain, not hosted mailboxes. If you need full mailboxes we will set up Google Workspace or Microsoft 365 in an account you own and pay for directly.
If a monthly invoice goes unpaid we will contact you. Service may be suspended if it stays unpaid, and we will give you reasonable notice before that happens.
7. What we need from you
Projects run on time when you:
- provide content, images, logos and access to accounts we need, in a usable form
- confirm that you own or are licensed to use everything you send us — you are responsible for material you supply
- give feedback and approvals within a reasonable time
- keep your own account credentials secure
If a project stalls on our side of the conversation for more than sixty days without a response from you, we may treat it as paused and re-quote the remaining work.
8. Ownership of what we build
You own the code and the content we produce for your project once it is paid for in full. Domains are registered in your name and remain yours. If you host elsewhere, you take the code with you.
We keep ownership of our own general know-how and of the reusable components, tooling and techniques we bring to every project. Nothing here stops us from building similar things for other clients, provided we do not use your confidential information or your content to do it.
Until a project is paid in full, any licence to use the work is provisional. We may show finished work in our portfolio and marketing unless you ask us in writing not to.
Third-party components we integrate (open-source libraries, fonts, plugins, stock imagery) stay under their own licences, and those licences pass to you with the project.
9. Third-party services
Projects usually rely on services we do not control — domain registrars, hosting providers, payment processors, email providers and third-party APIs. Where those are in your own accounts, their terms and their fees are between you and them. We are not responsible for outages, price changes or policy changes at those providers, though we will help you work through them.
10. What we warrant, and what we do not
We will perform our services with reasonable skill and care. If something we built does not work as agreed, tell us within thirty days of handover and we will fix it at no charge.
Beyond that, our services and this website are provided “as is”. We do not warrant that a website will be free of every defect, that it will be uninterrupted, or that it will produce any particular search ranking, traffic level, conversion rate or revenue. Search engines, AI systems and advertising platforms are outside our control.
Nothing in these terms limits rights you have under applicable consumer protection law that cannot be limited by agreement.
11. Limitation of liability
To the extent the law allows, our total liability arising out of or connected to our services is limited to the amount you paid us for the work in question in the twelve months before the claim.
We are not liable for indirect or consequential losses, including lost profits, lost revenue, lost data, or business interruption. You are responsible for keeping your own backups of content you provide.
This clause does not exclude liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.
12. Confidentiality
We treat non-public information you share with us as confidential and use it only to do your work. We will not disclose it except to the service providers we need to deliver the project, or where the law requires it. This obligation continues after the project ends. We are happy to sign your NDA.
13. Ending the relationship
Either of us can end an engagement in writing. If you end it, the refund rules in section 5 apply. If we end it — for example because the work turns out to be outside what we can do well — we refund the unearned portion of anything you have paid. Sections on ownership, confidentiality and liability survive termination.
14. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction, though this does not deprive you of the protection of mandatory consumer law in your own place of residence.
